Status
Think First Capital I is the commercial name of an investment platform. It is not, by itself, a separate legal entity, investment product or regulatory classification. The legal entities acting in relation to a particular investment will be identified in the applicable definitive investment documentation.
For Portfolio I, the relevant Polish alternative investment company is NOVARIS CAPITAL Alternatywna Spółka Inwestycyjna spółka akcyjna w organizacji, using the abbreviated name NOVARIS CAPITAL ASI S.A. w organizacji, with its registered office in Warsaw and published contact address at ul. Grzybowska 62, 00-844 Warsaw, Poland (“Novaris ASI”).
Novaris ASI was incorporated on 12 May 2026 by NOVARIS CAPITAL DOO, a company established under the laws of North Macedonia, with its registered office at Makedonija no. 2-1/2, Skopje-Centar, North Macedonia, registered under company number 7934572 and identification number 4080026639350. NOVARIS CAPITAL DOO subscribed for all of the initial shares in Novaris ASI.
On 29 July 2026, the Polish Financial Supervision Authority (Komisja Nadzoru Finansowego, “KNF”) entered Novaris ASI in the register of managers of alternative investment companies as an internally managed alternative investment company (wewnętrznie zarządzający ASI). Its national ZASI register identifier is PLZASI00467.
This entry is a registration and does not constitute a licence or authorisation granted by the KNF. It must not be understood as the KNF’s approval or endorsement of Novaris ASI, Think First Capital I, any portfolio company, investment strategy, valuation, forecast, expected return or proposed investment.
Novaris ASI operates under the registration regime applicable to managers whose aggregate assets under management remain below the statutory thresholds: generally EUR 100 million, or EUR 500 million where the applicable statutory conditions concerning leverage and redemption rights are satisfied. A registered ZASI is not subject to the same scope of supervision as a manager holding a KNF authorisation.
Under this registration regime, the KNF receives limited regulatory reporting. In particular, the KNF does not receive or verify the financial statements of Novaris ASI, does not supervise or verify the composition of its investment portfolio, and does not approve or verify changes to its investment policy or strategy. The applicable registration regime does not require the appointment of a depositary and does not impose the same portfolio, diversification, liquidity-management and organisational requirements that apply under the authorised regime.
Participation rights in an ASI may be offered or marketed only to persons qualifying as professional clients under applicable law. A natural person who is not otherwise a professional client may be treated as one only after satisfaction of the applicable statutory conditions, including the required request, knowledge and experience assessment and, as a general rule, a contribution of at least the PLN equivalent of EUR 60,000, subject to applicable statutory exceptions.
Investments in an ASI involve elevated risk, including the possible loss of the entire amount invested. Registration in the KNF register does not provide any guarantee of capital protection, liquidity, investment performance or exit.
